Breakout sessions

7:45 - 8:45 AM

Morning Session | Has the Tax Cuts and Jobs Act impacted the value of your business?

Presenter: Robert J. Grossman, CPA/ABV, ASA, CVA, CBA Partner and Brad W. Matthews, CPA/ABV, CVA Manager, Business Valuation & Litigation Support Services

Although the Tax Cuts and Jobs Act (TCJA) did not modify any valuation rules, the TCJA’s “pro-business” changes are likely to lead to increased business value. Business owners, especially those planning to exit their businesses, should be aware of the new opportunities and work with their advisors to devise value enhancement strategies based on the provisions of the TCJA. This presentation will discuss how the TCJA will impact conclusions of value and address corresponding considerations for business owners, including:
  • Increased free cash flow due to the reduced corporate tax burdens
  • Enhanced rules for accelerated depreciation of fixed assets and business expensing
  • Changes in cost of capital
  • Application of market multiples post-TCJA

7:45 - 8:45 AM

Presenter: Robert Hild, Chairman and CEO, ACT Capital Advisors

You are in control of your business and its ultimate success. Success can be measured in a number of ways, not all of them are financial.  In the end, every owner wants to maximize their exit. Bob Hild, Chairman and CEO of ACT Capital Advisors, a national M&A advisory firm, will present what today’s buyers are looking for in an acquisition target. In this Session, Bob will cover the following – and more:
  • What creates value from the buyer’s perspective.

Afternoon Session | SUCCESS – Where planning and opportunity meet

Presenter: An executive from Bank of America Private Bank

Whether the event is planned, unplanned or a matter of chance, the time to prepare your company, and yourself, for a change in ownership is now. Succession planning does not begin when you’ve chosen which path to forge; or when that path has been chosen for you. Rather, these activities should be an ongoing part of running your business. There are steps you can take now to be better prepared for when you decide to step away from your company. This session will provide:
  • A framework for recognizing the wide-range of constituents who have a stake in the disposition of your company
  • Insights on the market for private businesses, exit options, and how each relates to your personal priorities
  • Actions you can take today to help prepare your company, and you, for that future event

12:05 - 1:35 PM

Afternoon Session | Preparing today to exit your business in the future

Presenter: Dave Heymann, Sr. Mergers & Acquisitions Advisor, Generational Group

Years from now, most business owners will be dismayed to learn all of the things that they should have been doing to build value in their business. Far too often, business owners don’t prepare an exit strategy until they are ready to exit and that is too late to learn how to build value. What is the value of the business today and what should owners be doing to increase that value over time? Should I sell in the future or seek a strategic partner now to give me the resources to build the business in the future? Is the value in the future going to be in my P&L or my intangible assets? Dave Heymann, Senior Mergers & Acquisitions Advisor with Generational Group will answer these questions and more:
  • What are the best options OTHER than selling
  • How value is REALLY determined in a business
  • How to enhance the value of your company LONG before exiting
